Terms of Service

These Terms of Service (“Terms”) apply between MicroForge (“we”, “us”) and a Shopify merchant (“you”, “merchant”) who installs Countloop Stock Take (“the App”) on their store.
Who these Terms are for
These Terms apply to any Shopify merchant who installs the App, including staff members and helpers the merchant invites to use it.
What the App does
The App lets a merchant run a physical inventory count — recording quantities by scanning or typing them in, comparing the count to Shopify's current inventory, and writing the reconciled quantities back to Shopify. It does not read or modify customer data, and it does not require Shopify POS or a barcode scanner to work.
Billing
The App is free to use for a single person running a count from start to finish and exporting the results. Paid features — assigning different sections of a count to multiple people at once, and the history/analytics screens — require the Pro plan, billed through Shopify App Pricing at $14.99 per month or $149 per year, with a 14-day free trial of Pro. Prices are shown in USD; Shopify may convert this to your local currency at checkout.
Cancellation
You can cancel a Pro subscription at any time from Shopify admin's “Manage app charges” screen. If you cancel, Pro features remain available until the end of the period you already paid for; after that, the store returns to the Free plan. A count you started while on Pro keeps its Pro features until that count is finished, even if your subscription changes in the meantime. We do not process refunds directly — refund requests for Shopify App Pricing charges are handled by Shopify.
Acceptable use
- Do not use the App to store or process data about your store's customers — it is not built for that, and its database has no fields for it.
- Do not attempt to bypass the App's rate limits or the invited-helper link system.
- Do not use the App in a way that violates Shopify's own Acceptable Use Policy or Terms of Service.
Disclaimer of warranties
The App is provided “as is” and “as available”, without warranties of any kind, express or implied.
Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from your use of the App, including inventory discrepancies that result from data you or your staff entered, or from Shopify inventory changes made outside the App while a count is in progress. Our total liability for any claim relating to the App is limited to the amount you paid us for the App in the 12 months before the claim.
Changes to the App and these Terms
We may change, suspend, or discontinue any part of the App at any time. We may update these Terms from time to time; continued use of the App after an update means you accept the revised Terms.
Data Processing Terms
When you use the App, we process data as described in our Privacy Policy, acting as a processor for the inventory and staff-attribution data collected through your store, and as a controller for your own account data (shop domain, plan, and billing status).
Governing law
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles.
